Job Description

The Head of Governance's main duties are;

  • Influence at senior levels, whilst demonstrating the ability to offer sound advice and respond quickly to fast moving priorities.
  • Turn strategic plans into operational capability, and translate complex management information in order to influence, monitor and develop department and business needs.

Governance

  • Responsible for developing and managing the operational implementation and development of the Governance Framework across the Group.
  • Ensuring an appropriate Board Governance framework including reviewing terms of reference and the annual cycle of business; managing the induction and development of board members; enhancing board and committee structures, coordinating effectiveness reviews and ensuring best practice.
  • Sensitively deal with issues surrounding the disclosure of interest, extraordinary contracts, changes to auditors and the appointment/removal of board members.
  • Advising the boards, Chairs and Executive on all current governance matters to ensure robust, effective and open governance processes which adhere to the relevant Code of Governance.
  • Provide information and deliver training across the business ensuring people are well informed on Governance, Compliance, Business Improvement and related matters.

Legal & Regulatory Compliance

  • Manage procedures to ensure compliance with any relevant charity and company statutory and regulatory requirements, including ensuring appropriate regulatory returns are submitted on time.
  • Provide guidance to staff internally seeking legal advice on commercial, contractual and housing matters and manage relationships with external firms for the provision of expert advice
  • Collaborate with other departments to direct compliance issues to appropriate existing channels for investigation and resolution. Consult with legal advisers when needed to resolve difficult legal compliance issues.
  • Identify potential areas of compliance vulnerability and risk; develop and implement corrective action plans for resolution of problematic issues and provide general guidance on how to avoid or deal with similar situations in the future.
  • Report immediately to the Executives, CEO and Board of Directors all material and significant breaches or potential breaches of regulations, including compliance with the Code of Conduct. Develop and oversee a system for consistent handling of such breaches.
  • Provide reports on a regular basis, as directed or requested, to keep the CEO and Board of Directors informed of the operation and progress of compliance efforts.
  • Periodically revise the arrangement for monitoring compliance in light of changes to the needs of the organisation, law and regulation.
  • Ensure a policy register is developed and maintained and to oversee an annual policy audit to ensure all policies are consistent with statutory, regulatory and organisational requirements.

Company Secretarial

  • Ensure that all Board and committee meetings are properly constituted and serviced (including working with execs to formulate agendas and business cycles).
  • Ensure good information flows between the board, committees and executives.
  • Manage the monitoring of Terms of reference, Standing Orders and membership of the Board and committees and advice to staff and members on all issues relating to these.
  • Ensure all company records and registers are formalised, maintained and kept up to date including filing changes with Companies House.


General Duties

  • Ensure that our Customers are at the heart of everything we do.

  • Adapt a proactive approach to identify and mitigate risks to both your business area by informing your line manager and contribute to updating the risk register.
  • Expected to ensure compliance with all legal obligations concerning the protection of data concerning employees, customers and third parties.
  • To take responsibility for your own health and safety and that of your colleagues in accordance with the Health and Safety at Work Act (1974), whilst following the Group's Health and Safety policies and procedures at all times.
  • To work in a variety of locations including premises not directly under the control of the Group.
  • Some flexibility over working hours is necessary to meet the requirements of the job.


The Successful Applicant

The successful Head of Governance should have;

  • Degree level qualified in a housing or related discipline, or substantial experience in a similar role,
  • Demonstrable experience of leading a successful and respected Governance and Compliance Function.
  • Senior management experience in a relevant role in a housing association.
  • Experience of managing teams and motivating people to work collectively to achieve agreed objectives.
  • Experience of working effectively at Board level and managing relationships between departments and their sponsored bodies.
  • Extensive knowledge of Governance and Compliance including relevant legislation, codes of conduct and regulatory requirements for the sector.
  • Skill and knowledge to develop a Governance and Compliance Framework, strategies and policies aligned to regulatory standards and best practice, and the confidence and ability to effectively deliver.
